6．《_________商品交易服务合同》与其关联的《商品价格单》、《购货清单》等法律文件不可分割并具备同等的法律效力。

7．甲方优先拥有乙方商品在美国行业经销的独家代理权，具体形式双方另行协商并签署协议。

三、交易保证金条款

iii．transactiondeposit

1．为确保本合同的执行，乙方按其确认年度货物总交易额的4％缴纳交易保证金（最低不超过usdXX），即乙方确保其可以接受的《购货清单》的货物的总额不得低于其只用的交易保证金的25倍。交易保证金缴纳方式：本合同订立之日起5日内卖方向乙方出具以甲方为受益人的甲方认同的《交易保证金付款交单》[格式见附件4，简称《付款保函》，《付款保函》上应该标明本合同编号]。该保证金使用年限为本合同有效时限缩短6个月，到期后，甲方将《付款交单》退还给为甲方出具《付款交单》的农行注销。《付款交单》由乙方确认生效后，乙方方可借助互联网向甲方网站中的销售价格栏目提交《商品价格单》。

2．如乙方未按《购货清单》约定的时限、地点、品种或数量向甲方供货，甲方有权以传真形式向为甲方出具《付款交单》的建行直接扣收《购货清单》中违约货物总额的4％的违约金。

四、音视频信息公布

iv．declarationofaudio&videoinformation

1．甲方独家代理乙方在“_________”中播发乙方的企业和商品音视频信息（简称商品信息）的业务。

2．乙方应_________公司发布的宽带数据广播网交易信息播发表明的规定递交文件和载有音视频信息的光盘（avi格式）。

3．通过_________公司的审核后，乙方应按播发表明的规定支付商品信息播发费。

4．本协定签署之日起30日内，如果卖方提交的文件和音视频信息的内容没有借助_________公司的审核，乙方应在本合同订立之日起40日内向甲方支付800美元的商品信息播发业务办理，并按中视公司的规定设置相关信息再次提交。

五、产品责任条款

v．productliabilityclauses

1．卖方应委托乙方在丙方指定的保险公司对其通过乙方销售至全球的所有产品理赔产品责任险。

2．乙方需向_________集团下属_________公司（简称：_________）提供用于测量的样品（数目要满足_________对测试数量的规定），并委托_________对样品铅封保存半年（卖方承担相应利息），期满后乙方应再次提供用于测量的样品；发生质量争议时，双方同意由_________对该样品进行检查，该测试结果作为品质标准，检测成本由乙方先行缴纳，最终由责任方承担。

3．卖方应承担因为其产品品质难题给甲方所产生的全部代价。甲方有义务转交丙方相关中国买家赔偿凭证，主要比如：索赔书、中国商检机构开具的相关证明等文件。

六、商品检验和货物交割

vi．inspectionandtransaction

1．乙方在每批货物装运前应委托乙方所在地的_________对装运的货物进行商品种类和数目测试（乙方承担评估成本），并由_________出具品种和总量正本检测报告（简称《检测报告》），该测试报告内容需要与《购货清单》中载明的种类和次数描述内容完全相符。

（1）甲乙双方指定_________公司为《购货清单》中货运的承运人，该承运人开具的正本货物单据中载明的内容（时间、地点等）须与《购货清单》中载明的内容（时间、地点等）相符。承运人联系形式如下：

（4）上述货物备妥以后，乙方须在不迟于每批货物发货时限前12日以传真形式向乙方递交_________出具的监测报告，由甲方进行核实。

3．乙方将对《购货清单》所售货物进行适度完全的包装，以便于长距离的远洋或内陆运输，能够较好地保护货物，防止受潮、湿气、震动、生锈、粗暴处理。特殊货物包装规定另议。乙方对因为其不适度和不良的包装所造成的任何毁坏和代价负责。

4．乙方应当在每个运输包装物上注明合同编号、包装号码、体积、毛重、净重，以及“本面向上”、“小心轻放”、“切勿受潮”等装运标志。

5．卖方的发货时限为丙方向甲方出具不可中止即期跟单信用证20日后且在《购货清单》中载明的交货期限内。

七、交易费用

乙方同意向丙方支付《购货清单》货款总值5％的总额作为交易成本，甲方向丙方出具同等数额的商业。

八、付款条款（即期信用证开证条款）

乙方按甲方《购货清单》约定的时限、地点、品种和次数交给承运人后，凭以下凭证向工行议付信用证，信用证要求的可贴额的95％：

（1）卖方开具100％货物价值的经销，乙方在销售收据右上角标明相应的《购货清单》编号，否则将被乙方成为无效退回。

九、样品采购条款

ix．purchaseofsamples

1．采购方式：

purchaseway

（1）乙方按本合同《样品寄售清单》（见附件6）向甲方提供样品放置于甲方选定的公共保税库，并承担保税库所在地的报关费、内陆运杂费等成本（简称费用：240美元/批次，发货前汇款至乙方指定账户）；每次发货后甲方应传真发货通知及凭证（收据、装箱单、提/运单等相关凭证）；如货物到港后甲方未能收到丙方支付的上述费用，甲方有权不申请清关手续，由此造成的额外成本乙方自行承担；甲方应在货物实际销售后支付对应部分的90％的货款（以美国上海口岸出具的国产报关单为付款按照）或按卖方指示将货物退运（退运相应利息由卖方承担）。

partybshallsupplysamplestostoreintheappointedbondedwarehouseaccordingtothe《samplesconsignmentsheet》（theenclosure6）ofthisagreementandbearthelocalchargessuchasimportclearingcustomscharges，inlandfreightandincidentals，etc.（forshortincidentals：usd240/batch，andmustbepaidtotheaccountappointedbypartyabeforesendingthegoods.）partybshallfaxtheshippingadviceandimportdocuments（invoice，packinglistandb/lorairwaybill，etc.）topartyaaftersendingthegoodseverytime.partyahastherighttorefusetodealwiththeimportclearingcustomsifnothavingreceivedthementionedincidentalsaftergoodsarrived.partybshallbeartheadditionalexpensesaccordinglybyhimself.partyashallpaycorresponding90％valueofthegoodsafteractualselling（accordingtotheimportcustomsdeclarationissuedbybeijingcustoms）orsendthegoodsbackaccordingtopartyb'sindication（partybbearstherelevantreturncharges）.

（2）乙方商品的样品库存不足其确认人数的50％时，甲方以传真方式向丙方签发《补货通知单》（见附件7）；乙方按其内容规定将样品运至甲方指定的公共保税库，并承担保税库所在地的报关费、内陆运杂费等成本。

十、违约处理条款

x．breachofcontractandpenalty

1．乙方未按本协议第二条中第5（2）条款的承诺在要求时限内以传真形式向甲方确定是否收妥甲方传真给卖方的《购货清单》，视为乙方违约。

2．乙方未按《购货清单》约定的时限、地点、品种或产量向丙方供货，视为甲方违约；其中种类和次数是否违约以乙方所在地的_________出具的商品检验报告内容与《购货清单》中载明的种类和次数描述内容完全相符为标准，期限和地点是否赔偿以承运人出示的正本货物单据内容与《购货清单》中载明的内容（时间和地点等）相符为标准。

3．乙方在《购货清单》约定的发货时限过后交货，仍然视为赔偿，如果《购货清单》项下的中国买家不接收乙方货物，乙方无权获取相应的款项，并应自行处置货物，产生的成本由卖方承担；如果《购货清单》项下的国内买家同意接受乙方货物，乙方仍可获得《购货清单》一定比例的款项，乙方可获得贷款的支付比重、时间由甲方确认。

4．乙方出付款交单的银行发出《违约通知单》，并向该银行直接扣收《购货清单》货款总额4％的赔偿金。

5．因乙方原因未按《_________商品购货协议》规定向乙方供货而导致丙方商业利益遭受损失，除了甲方扣收《_________商品购货协议》货款总额4％的毁约金外，乙方还应退还甲方商业利益遭受的代价。

十一、协议解除条款

xi．terminationoftheagreement

1．出现本协议第四条第5款之情形，本协议解除。

inthesituationofclauseiv5，thisagreementwillbeterminated.

2．当卖方出现违约或因商品品质问题给甲方的国内购货方产生损失拒不担负经济责任时，甲方有权单独解除本合同且不分担赔偿责任。

3．本合同有效时限到期，如甲乙两人不再续签，而且甲乙两人均履行完甲方已发出且被乙方接受生效的全部《购货清单》约定的相应义务后，本合同自然终止。

十二、不可抗力

乙方如因洪水等自然灾难、战争、罢工等不可抗力因素不能根据《购货清单》中的承诺交货时，须向乙方提供其所在国相关机构开具的证明材料，经双方协商《购货清单》可以延迟履行，甲方不得扣收卖方尚未履行供货部分对应的4％供货履约保证金。

甲乙双方在本协议执行过程中如有纠纷，双方友好协商解决。如争议能够协商解决，则由美国国际经济贸易诉讼委员会在上海根据中华人民共和国实体法律进行仲裁。
